Subscription for new Iute bonds is available through all banks listed on the Nasdaq account operator list (see the list here) and additionally via the DirectPlace subscription function of the Frankfurt Stock Exchange. As custodian banks may apply an earlier internal deadline for processing the transaction, we recommend completing the bond exchange in advance.

Iute is issuing new bonds to partially refinance existing 2021/2026 bonds and support its growth plans while optimizing its capital structure.

Iute bonds can be subscribed to via the Internet bank. Subscription is available through all banks listed on the Nasdaq account operator list. To subscribe for bonds, you must have a securities account. If subscribing as a legal entity, you also need to have a valid LEI code.

Iute bond has a nominal value of 100 euros, which is also the minimum subscription amount. There is no maximum limit to how many bonds you can subscribe for.

The amount corresponding to the number of bonds subscribed will be reserved from your bank account at the time the subscription order is submitted. The actual settlement will take place on the settlement date on 6 June 2025.

If the bond issue is oversubscribed, the bonds are allocated proportionally or according to another predetermined method.

Bondholders who have previously indicated their willingness to participate in the Invitation to the Conditional Exchange and Cash Tender Offer will participate in the Exchange and Cash Tender Offer on the basis of their previous indications, unless they notify the Issuer otherwise within the Exchange Period. However, all investors can now participate in the public offer.

The interest rate of 11–12.5% per year means that investors will earn annual interest within this range. The exact rate will be determined based on the subscription offers received and announced on or around 30 May 2025.

A bond is a security that allows an investor to lend money to an issuer under specific conditions. In return, the investor receives regular interest payments and, on the maturity date, gets back the initial investment.

The nominal value is the value assigned to a security at issuance. The nominal price of an Iute bond is 100 euros.

Income from bonds can be earned through interest payments and/or price changes in the bond’s value.

A senior secured bond means that it is not prioritized over other obligations of the company but is backed by specific assets.

The international rating agency Fitch Ratings has assigned Iute Group a B- rating with a stable outlook.

Iute bonds are listed on Nasdaq Tallinn and Frankfurt stock exchanges, allowing them to be bought and sold on the secondary market.

According to the Prospectus terms, tax is not deducted from Iute’s bond interest payments

The process for legal entities is similar to individuals, but a legal entity must have a LEI code to hold securities.
